Terms of Service

1. Agreement to Terms

By accessing or using DeepMor Tech Consultancy's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with these terms, please discontinue use immediately.

These terms constitute a legally binding agreement between you ("Client" or "you") and DeepMor Tech Consultancy ("Company", "we", "us", or "our"), a business registered and operating in the United Kingdom.

2. Services Provided

DeepMor Tech Consultancy offers the following professional IT services:

  • Website & App Development & Hosting: Custom websites and web applications, hosting, and performance optimization
  • Vulnerability Analysis & Penetration Testing: Security assessments, ethical hacking, and compliance-aligned testing
  • Hardware Services: Installation, repairs, and maintenance of IT equipment

Specific service deliverables, timelines, and pricing are outlined in individual Service Agreements or Statements of Work (SOW).

3. Service Level Agreements (SLA)

Response Times

  • Critical Issues: 1 hour response, 4 hour resolution target
  • High Priority: 4 hour response, 8 hour resolution target
  • Medium Priority: 8 hour response, 24 hour resolution target
  • Low Priority: 24 hour response, 72 hour resolution target

Availability Guarantee

We guarantee 99.9% uptime for managed infrastructure services. SLA credits apply for verified downtime exceeding this threshold, as detailed in your service agreement.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information required for service delivery
  • Grant necessary access to systems, networks, and facilities
  • Maintain current backups of critical data
  • Respond to requests for information within reasonable timeframes
  • Follow security recommendations and best practices
  • Notify us promptly of any security incidents or system issues
  • Ensure compliance with all applicable software licenses

5. Payment Terms

Pricing and Invoicing

  • Managed Services: Monthly recurring billing, payable in advance
  • Project Work: 50% deposit, remainder upon completion
  • Hourly Services: Invoiced monthly, net 14 days
  • Emergency Support: Charged at premium rates, invoiced immediately

Late Payments

Invoices are due within 14 days unless otherwise specified. Late payments incur interest at 8% above the Bank of England base rate (statutory right under the Late Payment of Commercial Debts Act 1998). We reserve the right to suspend services for accounts more than 30 days overdue.

Accepted Payment Methods

Bank transfer (BACS), credit/debit cards (Visa, Mastercard, Amex), direct debit for recurring services.

6. Intellectual Property

Client Data

You retain all ownership rights to your data, content, and business information. We claim no intellectual property rights over your materials.

Deliverables

Upon full payment, you receive ownership of custom-developed solutions, code, and documentation created specifically for you. Pre-existing tools, frameworks, and methodologies remain our property.

Trademarks

DeepMor, the DeepMor logo, and other service marks are our exclusive property. Use requires written permission.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, including:

  • Business strategies and financial information
  • Technical specifications and system architectures
  • Customer data and personal information
  • Security vulnerabilities and assessment results

Confidential information may only be disclosed as required by law or with explicit written consent. Obligations survive termination of services for 5 years.

8. Data Protection and Security

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. See our Privacy Policy for details.

For managed services, we act as a Data Processor on your behalf and maintain appropriate technical and organizational measures to protect data integrity and confidentiality.

9. Warranties and Disclaimers

Our Warranties

We warrant that services will be performed with reasonable skill and care, consistent with industry standards. Custom software will function substantially as documented for 90 days from delivery.

Disclaimers

EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that services will be uninterrupted, error-free, or completely secure. No system is immune to all cyber threats.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability for any claim shall not exceed the fees paid in the 12 months preceding the claim
  • We are not liable for indirect, consequential, or punitive damages, including lost profits or data loss
  • We are not liable for damages caused by client's failure to follow security recommendations
  • We are not liable for third-party services, hardware failures, or force majeure events

These limitations do not apply to liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.

11. Indemnification

Client agrees to indemnify and hold harmless DeepMor Tech Consultancy from claims arising from:

  • Client's breach of these terms
  • Violation of intellectual property rights
  • Misuse of services or unauthorized system access
  • Client-provided content that is defamatory, infringing, or illegal

12. Term and Termination

Contract Duration

Managed service contracts typically run for 12-month terms with automatic renewal unless 60 days' written notice is provided. Project work concludes upon acceptance of deliverables.

Termination Rights

Either party may terminate for:

  • Convenience: 60 days' written notice (managed services)
  • Cause: Immediate termination for material breach, non-payment, or illegal activity
  • Insolvency: Automatic termination if either party enters administration or bankruptcy

Effects of Termination

Upon termination, client must pay all outstanding fees. We will cooperate with knowledge transfer and transition but may charge reasonable fees for extended assistance.

13. Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet/infrastructure failures. Services may be suspended during such events without penalty.

14. Dispute Resolution

Governing Law

These terms are governed by the laws of England and Wales. The UK courts have exclusive jurisdiction over disputes.

Resolution Process

  1. Negotiation: Parties will first attempt good-faith negotiations
  2. Mediation: If unresolved within 30 days, mediation through a mutually agreed mediator
  3. Litigation: Court proceedings may commence if mediation fails

15. Acceptable Use Policy

You agree not to:

  • Use services for illegal activities or to violate others' rights
  • Attempt to breach security or access unauthorized systems
  • Distribute malware, spam, or engage in phishing
  • Interfere with service delivery to other clients
  • Reverse engineer our proprietary tools or systems
  • Share login credentials or allow unauthorized access

Violations may result in immediate service suspension and legal action.

16. Changes to Terms

We reserve the right to modify these terms with 30 days' notice. Continued use of services constitutes acceptance. Material changes affecting pricing or service scope require client consent.

17. Miscellaneous

  • Entire Agreement: These terms, together with service agreements and SOWs, constitute the complete agreement
  • Severability: Invalid provisions do not affect enforceability of remaining terms
  • No Waiver: Failure to enforce a right does not waive that right
  • Assignment: Client may not assign rights without our written consent
  • Third Parties: No third-party beneficiaries except as expressly stated
